Terms of Use for End Users and Restaurants

Welcome to FeedMe ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the FeedMe platform (the "Platform"), which facilitates food ordering, takeout, and delivery services provided by independent restaurants ("Restaurants"). By accessing or using the Platform, you agree to these Terms. If you do not agree, you must discontinue use immediately.
Your use of the Platform is also subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data. By using the Platform, you agree to the terms outlined in the Privacy Policy.
FeedMe is designed as a gastronomic personal assistant, enabling Users to browse menus, place orders, make payments, leave reviews, choose order fulfillment methods (delivery or pickup), and track order history. The Platform is available for both iOS and Android devices. FeedMe also provides Restaurants with a flexible business management panel and application, allowing them to optimize order processing, customer engagement, and service efficiency.

"User" refers to any individual who accesses or uses the Platform to order food.
"Restaurant" refers to a third-party business offering food and delivery services through the Platform and utilizing FeedMe's management tools.
"Order" refers to any request placed through the Platform for food or beverage items from a Restaurant.
"Third-Party Payment Processor" refers to an independent service provider facilitating payment transactions on behalf of FeedMe.

FeedMe acts as an intermediary between Users and Restaurants. We do not own, prepare, store, or deliver food. FeedMe is not responsible for food quality, preparation, delivery, or order fulfillment, which remain the responsibility of the respective Restaurant. FeedMe provides Restaurants with a digital platform to manage their orders, customer interactions, and promotional campaigns but does not assume responsibility for the operational aspects of the Restaurant.

Users may place orders as guests or by creating an account.
Restaurants must create a business account to access the management panel.
Users and Restaurants must provide accurate and complete information when creating an account.
FeedMe reserves the right to suspend or terminate accounts for any misuse or violation of these Terms.

Payments are processed via a Third-Party Payment Processor.
Once an order is placed and paid for, it is final. Cancellations by Users will not be refunded unless otherwise determined by the Restaurant.
If an order is not fulfilled or is incorrect, Users should contact the respective Restaurant for a resolution. FeedMe is not liable for refunds or compensations.
All pricing and fees are determined by the Restaurants and may include taxes and service fees.
Restaurants are responsible for ensuring accurate pricing, menu availability, and handling refunds where applicable.

FeedMe is not responsible for food quality, preparation, delivery time, or any other aspect of the service provided by the Restaurant.
FeedMe is not liable for any illness, allergic reactions, or other health-related issues arising from consumption of food ordered through the Platform.
To the fullest extent permitted by law, FeedMe disclaims all warranties and representations regarding the services provided by Restaurants.

Users and Restaurants are prohibited from:

Attempting to gain unauthorized access to the Platform, its data, or its systems.
Engaging in fraudulent transactions, including false chargebacks or identity theft.
Posting, transmitting, or distributing unlawful, harmful, defamatory, or otherwise objectionable content.
Violating any applicable laws, regulations, or third-party rights.

FeedMe employs advanced security measures to protect Users' and Restaurants' data. However, no security system is infallible, and FeedMe does not guarantee absolute protection against cyber threats. Users and Restaurants are responsible for maintaining the confidentiality of their account credentials.

FeedMe strives to provide uninterrupted service but does not guarantee the Platform will always be available or free of errors. FeedMe reserves the right to suspend, modify, or discontinue services for maintenance, upgrades, or unforeseen circumstances.

Users and Restaurants agree to comply with all applicable local, state, national, and international laws and regulations, including but not limited to health, safety, and tax regulations.

FeedMe may offer promotions, discounts, or advertising opportunities to Users and Restaurants.
FeedMe reserves the right to modify or terminate any promotion at its sole discretion. Any marketing materials or discounts offered through FeedMe must comply with applicable laws.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration, conducted in accordance with the laws of Israel.
The arbitration shall be conducted before a single arbitrator, who shall be chosen by mutual agreement of the parties.
If the parties fail to agree on an arbitrator within 14 days, the arbitrator shall be appointed by the President of the Israel Bar Association.
The party seeking arbitration must provide written notice to the other party, detailing the nature of the dispute. The arbitration proceedings shall commence within 30 days of the arbitrator's appointment.
The arbitration shall take place in Tel Aviv, Israel, and shall be conducted in Hebrew, unless otherwise agreed by the parties.
The arbitrator's decision shall be final and binding. Each party shall bear its own costs and expenses related to the arbitration, unless otherwise determined by the arbitrator.

Users must ensure they provide accurate order details, comply with all applicable laws, and refrain from any actions that could disrupt the Platform or services provided by Restaurants.

Restaurants that subscribe to FeedMe's services agree to pay the applicable fees as specified in their agreement.
Subscription fees may be charged on a monthly or annual basis, with the specific amount to be determined by FeedMe.
Additional transaction fees or service charges may apply for order processing, marketing services, or premium features.
Restaurants will be notified in advance of any fee changes. Continued use of the service constitutes acceptance of the updated fees.
FeedMe reserves the right to suspend or terminate services for Restaurants with unpaid balances.
Restaurants may cancel their subscription by providing 30 days' notice, as specified in their agreement with FeedMe.

Nothing in these Terms creates an agency, employment, joint venture, or partnership relationship between FeedMe and any User or Restaurant. Each party acts independently and is responsible for its own operations and obligations.

FeedMe reserves the right to modify these Terms at any time. Changes will be notified via pop-ups, banners, or other electronic means. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of Israel. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel.

FeedMe reserves the right to terminate or suspend access to the Platform for violations of these Terms, misuse of services, or legal compliance requirements.
